Obtained his law degree from the Facultad Libre de Derecho de Monterrey, A.C.  (1994).

 

Master´s Degree from the New York University School of Law School ,  New York, NY (1997).

 

Foreign Associate at Cahill Gordon & Reindel in New York, during 2001 and 2002.

 

PRACTICE AREAS
His private practice as counsel to a different array of clients exceeds twenty years and is focused in corporate, commercial and financial matters, corporate restructurings, mergers and acquisitions, joint ventures, corporate finance, and foreign investment, international trade and intellectual property, commercial contracts, immigration matters and franchising. Mr. Paez has had substantial transactional involvement in the aviation and telecommunications industries.

Official Translator for the English-Spanish languages appointed and authorized by the Superior Court of Justice of the State of Nuevo Leon.

PROFESSIONAL EXPERIENCE

·       Advised domestic and foreign clientele in all kind of corporate restructuring, spin offs, mergers and acquisitions, investment planning, corporate dissolutions and liquidations;

·       Participation in the purchase and sale of commercial and industrial operations, including stock, equities and assets purchase agreements.

·       Served as Secretary of the board on various multinational clients.

·       Participated on matters relating to ownership and management control of corporate entities, including minority shareholders´ protection rights and corporate governance structures.

·       Counseling and negotiation of a wide variety of civil and commercial contracts, such as distribution, supply, services, commission, lease, license, franchise, and he has actively participated and negotiated “turn-key” contracts related  to the creation of network infrastructure, construction and civil works, and systems integration, among others.

·       Representation of clients in several arbitration proceedings related to loans, breach of contracts, disputes among shareholders and corporate governance.

·       Handles intellectual property matters for several clients, including trademark and patent registration filings.
